Effective Date: October 27, 2025
Parties:
KIND MUG (“KIND MUG”), a coffee company with principal office in Roanoke County, Virginia
Nonprofit refers to any organization properly registered with the IRS as a nonprofit.
Purpose:
KIND MUG will sell coffee bags featuring the Nonprofit’s branding and/or messaging. Sales proceeds (profits) will support the Nonprofit’s mission.
1. Term
This Agreement shall commence on the Effective Date and continue for 12 months, unless terminated earlier in accordance with Section 7.
2. Products and Sales
KIND MUG will design, produce, and sell coffee bags featuring Nonprofit branding.
Sales are limited to customers in the continental United States.
KIND MUG retains sole discretion over product selection, sourcing, pricing, and marketing.
Nonprofit may request a change in pricing, but KIND MUG has the final decision.
3. Profits and Payments
Net Profits: Nonprofit will receive 100% of net profits from the sale of their branded coffee.
Definition of Net Profits: Net profits = total sales revenue minus the actual costs of coffee, production, shipping, and transaction fees. Coffee costs may vary widely as KIND MUG purchases exceptional coffees from independent farmers and collectives.
Payments to Nonprofit will be made weekly via [method].
4. Marketing and Promotion
KIND MUG will provide a unique online link for Nonprofit to promote their coffee sales.
Nonprofit may promote via social media, website, newsletters, or other channels.
KIND MUG may use Nonprofit’s name and logo for marketing purposes related to this campaign.
5. Intellectual Property
Nonprofit grants KIND MUG a limited, non-exclusive license to use logos, branding, and content for coffee sales and marketing.
KIND MUG retains all rights in the coffee product, design, website, and sales platform.
6. Disclaimers and Liability
KIND MUG makes no warranties regarding the commercial success of coffee sales.
Nonprofit acknowledges that KIND MUG is not liable for any damages, claims, or losses arising from sales, shipping, or customer dissatisfaction.
Nonprofit is responsible for its own tax reporting and compliance with applicable laws regarding donations and revenue received.
7. Termination
Either party may terminate this Agreement upon 30 days written notice.
Upon termination, KIND MUG will remit any outstanding net profits to Nonprofit within 30 days.
Sections 3 (Profits), 5 (Intellectual Property), and 6 (Disclaimers) survive termination.
8. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Commonwealth of Virginia, and any disputes shall be resolved exclusively in the courts of Roanoke County, Virginia.
9. Entire Agreement
This Agreement constitutes the entire understanding between KIND MUG and Nonprofit regarding coffee sales. No other agreements, written or oral, apply.
